Il contributo ricostruisce le recenti vicende relative al passaggio di controllo di Telecom Italia nel più ampio contesto delle comunicazioni elettroniche, avendo particolare attenzione al ruolo dell'infrastruttura di rete e all'ipotesi di separazione al vaglio dell'Autorità di regolazione. Sono inoltre richiamate le tappe principali che hanno condotto all'attuale articolazione proprietaria, sfociata nella costituzione di Telco, e le criticità dell'"incumbent" nell'affrontare le sfide di un mercato sempre più globale. Nelle sezioni successive, sono approfondite le ipotesi di separazione funzionale della rete di accesso e la questione nodale degli investimenti necessari per il potenziamento delle infrastrutture di nuova generazione - le "Next Generation Networks" -. / The article analyses recent Telecom Italia changements in both shareholders structure as well as management composition, with specific emphasis on the agreement which has led to the creation of the Telco holding. The financial and industrial strategies of Telecom Italia are also scrutinised in the even more globalized telecomunication market, pointing out the many critical aspects that the Italian incumbent has to deal with and, above all, overcome. In this respect, it is also discussed the proposal of operational separation, which has been recently submitted to a public consultation by the Italian Regulatory Authority; and the issue of the necessary investments to boost the proper and sound development of the Next Generation Networks.
